We act for a broad range of listed companies on share incentive and remuneration planning, including innovative long-term incentive plans, all-employee share plans and employee trusts and worldwide incentive plans for multinational companies.
At the other end of the scale, we advise private and venture capital-backed companies on appropriate employee ownership structures which suit their commercial requirements. We also advise other law firms, accountancy practices and benefits consultants on all matters regarding share plans.
We have developed our own innovative share plan, the "ExSOP", which provides significant tax benefits for participants.
We work together with our colleagues in Corporate to provide advice on incentives in the context of transactions, setting up new businesses and resructurng and to help companies with relevant corporate governance and financial services regulation considerations.
Working closely with our colleagues in Employment and Pensions, we also advise clients on the wider aspects of an employment relationship including structuring an attractive package to attract high fliers, helping companies with issues arising from their expatriate workforce and dealing with the tax issues on termination of employment.

- Advice to US companies on the best way to extend their share plans to UK employees.
- Advising Misys plc on variety of share plans and related issues, including the extension of its SAYE and option plans to 18 countries.
- Advising a UK plc on implementation of a new plan on time and on budget.
- Extending the share plan of a European listed company to more than 290,000 employees in over 55 countries.
- Advising clients, small and large on the structuring and tax, legal and accounting consequences of share plans in today's market.
