We have responded to the challenge faced by companies in this area and can offer a full programme of training and update sessions for company directors, both for experienced plc board members who need to be reminded of the essentials and kept abreast of changes, and for newly appointed directors to parent and subsidiary boards who have to understand some of the basic concepts of UK company law.
Our training is tailored to each client's unique requirements. For some clients we have provided a series of training sessions, each covering a different area of their choice, timed around a lunch break in a board session or at the end of a directors' meeting. For others we have led a one-off session and returned a year later to update and refresh.
Our training sessions regularly cover a range of issues, including:
- directors' duties – a review of the codified set of directors' duties in the Companies Act 2006 (including the conflict of interest provisions), what they mean in practice, what the risks are if you breach them, and how to avoid problems arising.
- UK Corporate Governance Code – an overview of the way the Code works, who it applies to, its main provisions as they affect the board, the chairman, non-executive directors and the shareholders, and (where appropriate) lessons for non-listed companies.
- Companies Act 2006 – other relevant areas of the Companies Act of interest to the planned audience, such as the company's constitution, who has authority to act on behalf of a company and how does a company execute documents.
- Listing Rules and disclosure of information – what does it mean for a company to be listed, what obligations are there to disclose information and what happens when things go wrong.
- share dealing and market abuse – the model code for employee share dealing, the rules on market abuse and the criminal offence of insider dealing, with examples from practice of all three.
