Advised ERG S.p.A., a leading renewable energy company, on its acquisition of a 100% stake in a portfolio of seven operational onshore wind farms in Northern England from OnPath Energy Midco Limited, a subsidiary of OnPath Energy.

Advised JLEN Environmental Assets Group (UK) Limited, part of the Foresight Group, on the acquisition of a 100% equity stake in Rainworth Energy Limited, an anaerobic digestion plant, for a consideration of £5.8m subject to adjustment for working capital. The investment represents a further acquisition in the UK agricultural anaerobic digestion market, where JLEN is a leading investor.

Advised a syndicate of banks on the portfolio financing of five anaerobic digestion plants in England, Scotland and Northern Ireland which are majority owned by Bio Capital Limited (a joint venture between Helios and Equitix). The projects benefit from feed-in tariffs, the Renewable Heat Incentive scheme and Renewable Obligation Certificates. Bio Capital will use the £75 million senior term loan to further grow its AD portfolio in the future.

Advised Ørsted on a 10-year corporate power purchase agreement (CPPA) with US tech giant Amazon. The arrangement will see Amazon offtake 250MW of output from Ørsted’s planned 900MW Borkum Riffgrund 3 offshore wind farm in Germany, making it the largest offshore wind CPPA in Europe to date.

Advised EDF Renewables on its 50% acquisition of the Codling offshore wind project in Ireland from Hazel Shore. The project is spread across two sites. Codling 1 is consented for 1.1 GW and an application for Codling 2 for 1 GW was submitted in 2009.

Advising Tesco plc on one of the largest Corporate PPA procurement programmes, which has seen Tesco enter into long term Corporate PPAs with several developers, including EDF Renewables, ScottishPower Renewables, BayWa and Low Carbon. Tesco will purchase 100% of the electricity to be generated by three confirmed new wind farms. This included advice on structuring and negotiating the off-site PPAs, regulatory issues, negotiating an overarching framework agreement for the onsite installation programme and forms of on-site PPAs and leases providing for the necessary property rights for onsite installation.
