Pinsent Masons advises Poundland on major restructuring plan

Multinational law firm Pinsent Masons has advised the board of Poundland Limited in relation to its restructuring plan (sanctioned by the High Court on 26 August 2025) and related financing arrangements.

Now sanctioned by the High Court, the plan under Part 26A of the Companies Act 2006 will see new owners Gordon Brothers invest additional funding into the business.

The Pinsent Masons team was led by restructuring partner Nick Gavin-Brown, with the firm advising the board on aspects relating to the acquisition, the restructuring of the business and related shareholder financing.

Commenting on the successful sanction of the restructuring plan and financing, Nick said: “In advising Poundland, we supported the board through the complexities of the restructuring in parallel with the acquisition by Gordon Brothers. The successful restructuring sets up the business to compete on the high street.”

This transaction adds to Pinsent Masons’ growing portfolio of high-profile retail restructurings, following recent work on WH Smith, Hobbycraft and others.
