Pinsent Masons advises ERG on acquisition of seven onshore wind farms from OnPath Energy

Multinational law firm Pinsent Masons has advised leading European renewable energy independent power producer ERG on its acquisition of a 100% stake in a portfolio of seven operational onshore wind farms in Northern England from OnPath Energy Midco Limited, a subsidiary of OnPath Energy.
The transaction, completed through ERG’s subsidiary ERG UK Holding Ltd, marks a significant strategic investment aligned with ERG’s Industrial Plan. The acquired portfolio has a total installed capacity of 73 MW and consists of wind farms commissioned between 2011 and 2017, all of which are supported by the UK Renewables Obligation Certificate (ROC) scheme with an average remaining life of nine years.
The wind farms are expected to produce over 173 GWh annually, avoiding 65 kt of CO₂ emissions and supplying the equivalent annual energy needs of around 40,000 households.
Pinsent Masons supported ERG with a full-service, cross-disciplinary team providing due diligence and transaction advice. The firm’s Corporate, Tax, Property, Planning, Construction and Energy teams collaborated across the transaction.
Ronan Lambe, Partner at Pinsent Masons who co-led on the transaction with Corporate Partner Brian Thumath, said: “We were able to mobilise our specialist expertise across multiple teams to support ERG on this significant acquisition of onshore wind farm assets from OnPath. The transaction represents both a major investment in operational renewable energy assets and, as a future repowering opportunity, a welcome vote of confidence in the long-term role of onshore wind in the UK’s energy mix.”
Brian Thumath added: "We are delighted to have helped ERG on their strategic acquisition of the acquired portfolio further demonstrating our onshore renewables M&A bench strength and deal flow."
