Pinsent Masons advises UMS Consulting on its acquisition by Expleo

Multinational law firm Pinsent Masons has advised the shareholders of UMS Consulting GmbH & Co. KG on the sale of their shares to Expleo Group S.A.S.

Under the leadership of Frankfurt partner Dr Markus J. Friedl, Pinsent Masons provided the shareholders of UMS Consulting with comprehensive support during the sale of their shares. The advice ranged from transaction structuring to the negotiation of contract documentation and the restructuring of the company's management.

Markus Friedl comments: “The complex nature of this transaction required specialist M&A expertise, but also competent legal advice that spanned contract and employment law. We’re pleased to have supported UMS Consulting and its shareholders on this deal.”

UMS Consulting is a management consultancy which offers its clients services the implementation of strategies, implementation of new management structures and process optimizations as well as advises on innovation and digitization. In this regard UMS Consulting focuses on consulting on "Lean Management" and "Agile Management". Based in Frankfurt am Main, the company has a branch in Singapore and employs 80 employees worldwide.

Expleo Group S.A.S., controlled by private equity investor Ardian, is a global consulting firm based in Paris. The company provides services in the field of engineering and quality services and management consulting. The Expleo Group is active in 30 countries and has approximately 15,000 consultants and industry experts. In 2021, it generated sales of almost 1 billion euros.

With the acquisition of UMS, the Expleo Group combines its consulting expertise with the engineering and technology expertise of UMS Consulting. The Expleo Group is thus expanding its range of services to support its customers in their transformation. Expleo strengthens its capabilities in Germany and Europe and expand its presence in key strategic growth sectors such as banking, automotive, transportation, energy & utilities, and pharma & chemicals
