Pinsent Masons advises MJM Group on another M&A transaction in the Polish insurance sector

Multinational law firm Pinsent Masons has advised MJM Group, one of the leading brokerage groups in the insurance and reinsurance market, on the acquisition of a 100% stake in Certo Broker and XILIUM. Certo Broker specialises in the distribution of group and health insurance products, while XILIUM provides a digital platform for the administration of group life insurance programmes and health insurance policies.
The transaction was led by Legal Director Jakub Szczygieł, supported by Senior Associate Jakub Niemiec and Associate Aleksander Stanek from the M&A Team in Warsaw. The team advising on the transaction also included Associates Natalia Cichocka-Stępień and Filip Wilczyński under the supervision of Partner Jakub Marcinkowski.
MJM Group is one of the fastest-growing business groups in the Polish insurance sector, bringing together specialised brokerage, reinsurance, insurance and technology companies. The Group employs more than 650 professionals. MJM Group operates across a range of industries, including the energy, industrial, maritime and shipbuilding, transport and logistics (TSL), construction, and aviation sectors. The addition of Certo Broker and Xilium strengthens the Group’s capabilities in the areas of group insurance, life insurance and employee benefits programmes, while also enhancing its technological offering through an advanced digital platform for managing insurance programmes, currently used by more than 75,000 users.
The transaction is in line with MJM Group’s buy-and-build strategy, which is focused on growth through market consolidation and the integration of businesses that contribute complementary know-how, product specialisations, as well as distribution and technological capabilities.
Following the acquisition, which has strengthened the group’s position in the employee benefits insurance segment, MJM Group now manages an annual premium volume exceeding PLN 2 billion.
