Pinsent Masons advises Transgourmet on a joint venture with Oetker

Two market leaders in the food sector bundle their competencies with the help of Pinsent Masons.

Pinsent Masons advised Transgourmet Group, the German market leader in food services, on the formation of a joint venture with Oetker Group in the food and beverage industry. The aim of this coalition is the joint expansion of the catering and beverage wholesale platform Team Beverage, which is majority-owned by Transgourmet Group.

Transgourmet Group and Oetker Group concluded a corresponding joint venture agreement at the end of July 2018. The parties will hold their stake in Team Beverage AG through F&B - Food and Beverage Services GmbH as a joint venture vehicle.

Team Beverage is an independent distribution, purchasing, marketing and service platform for beverage wholesalers, retailers and catering. Through its network partners, it supplies a customer base of around 30,000 catering customers. Team Beverage supports its partners especially in the areas of data management, category management and marketing, marketing and e-commerce as well as supply chain management and logistics.

The alliance with Oetker Group is intended to establish Team Beverage in combination with the food business of Transgourmet Group as the integrated platform on the German food and beverage market. The parties intend to develop the existing platform into a 360-degree solution for the food and beverage market in a proactive, flexible and future-oriented fashion.

With more than 3,700 employees and sales of around 1.3 billion euros, Transgourmet Group is one of the leading multi-channel providers in cash & carry and supply wholesale for customers from the food and beverage industry, hospitality industry, company catering, social facilities and retail.

With a total of more than 300 companies, particularly in the business segments food, beer and non-alcoholic beverage, sparkling wine, wine and spirits, Oetker Group is one of Germany's largest family-owned companies. Part of Oetker Group is Radeberger Group as the largest private brewery group and one of the largest beverage wholesalers in Germany.

The joint venture between Transgourmet Deutschland and Oetker Group is still subject to approval by the competition authorities.
