Gary's experience

  • Advised on conversion of an informal professional network into an incorporated structure, assessing legal, regulatory and operational implications and recommending a company limited by guarantee as the preferred model.

  • Led the update and redrafting of a Corporate Governance Protocol, modernising legacy governance documents, aligning them with the Companies Act 2006, and improving usability for the board and senior management.

  • Acted as a trusted governance adviser in board and committee settings, supporting effective decision-making through structured processes, clear documentation and alignment with statutory and best practice requirements.

  • Provided end-to-end board and committee support to large corporate and group structures, including Board, Audit & Risk Committee (ARC) and Remuneration Committee (REMCO).

  • Supported the implementation of a delegation and decision-making structure, improving governance transparency and clarifying authority and escalation routes across the organisation.

  • Onboarded a corporate group into an outsourced company secretarial model, including migration of statutory registers, establishment of processes and implementation of ongoing compliance tracking.

  • Advising large group client on streamlining articles of association across the group, including all documentation to approve changes
