Multinational law firm Pinsent Masons has advised manufacturing companies PROXMUS and Promus on the sale of their businesses to CGH Innovation, one of Europe’s leading manufacturers of steel tanks and a portfolio company of H.I.G. Capital, a global private equity firm headquartered in Miami.
Pinsent Masons provided comprehensive legal advice on the transaction, including its structuring, the preparation and negotiation of the transaction documents and closing of the deal.
The transaction was led by Legal Director Michał Sowiński, with support from Associates Aleksander Stanek and Filip Wilczyński from the Corporate and M&A team in Warsaw, under the supervision of Jakub Marcinkowski, Co-Managing Partner of Pinsent Masons in Poland.
PROXMUS is an established Polish company with extensive experience in delivering industrial projects. It specialises, among other areas, in the production of tanks, process equipment, installations and production lines, steel structures, CNC (Computer Numerical Control) and large-scale machining, as well as the repair and modernisation of machinery and equipment.
Also based in Poland, Promus has operated for over 30 years, specialising in the production of steel structures and the comprehensive delivery of construction projects as a general contractor. The company supports the entire investment process, from design and design optimisation through the production and assembly of structures to the turnkey delivery of industrial, public-use, retail and environmental protection facilities.
CGH Group is a European manufacturer of steel tanks and specialised structures for various industrial sectors, including the fuel, energy, water and agricultural industries. The company is part of an international corporate group backed by H.I.G. Capital, one of the world’s largest private equity firms.
PROXMUS joining CGH Group will broaden the Group’s capabilities, including in the production of tanks and process equipment made from stainless, acid-resistant and duplex steel, installations and production lines, large-scale and CNC machining, and specialised steel structures. Combining PROXMUS’s experience and resources with CGH Group’s international scale of operations will enable the delivery of more complex industrial projects, giving clients access to a broader range of engineering and manufacturing solutions within a single group.
