His expertise also includes M&A transactions, companies reorganisations, corporate financing and employees and management incentives.

David's experience

  • Advised Lendable, from a tax perspective, on the establishment of the client‘s third fund to invest in UK consumer credit assets, which is part of a RAIF umbrella.

  • Advised SPE Capital Partners, on the €38m acquisition of a pharmaceutical group in Morocco through a special purpose vehicle established in Luxembourg.

  • Advised a leading UK Bank on the Luxembourg tax aspects of a securitisation project

  • Advised International Housing Solutions on the tax aspects regarding the set-up of fund which is developing investment in green construction of private housing developments in Kenya and on-going tax issues.

  • Advised Berkeley Asset Management LLP, from a tax perspective, on the establishment of Berkeley Loan Fund SCSp and an underlying holding structure as a fund.

  • Advised a leading and sustainable energy player in Luxembourg on the potential acquisition by the client from a Luxembourg energy group of 100% of the share capital and voting rights.

  • Advised NGP Energy Capital Management on its CAD 4.3 million restructuring of Luxembourg entities by reference to the liquidation of subsidiaries and allowed the client to repatriate proceeds to investors spread across different jurisdictions.

  • Advised an online reservation platform for beauty services on a Series A extension and the reimplementation of an Employee Stock Ownership Plan, co-ordinating with multiple stakeholders ensuring compliance with securities regulations. Assisted with coinventors' entry into the Luxembourg holding company's share capital and provided tax advice on anti-dilution options for founders following a growth equity firm’s investment.

  • Advised a major Lebanese construction company on its holding and financing structuring in Luxembourg.

  • Provided tax law advice to a group active in the ICT, entertainment, and agribusiness sectors. Assistance regarding the management of the assets of the group.
