Stacey's experience

  • Acted for a multinational clearing bank to streamline investor and ongoing regulatory due diligence on large portfolios of securitisation loan assets. We reviewed over 4,000 transactions with our proprietary due diligence system and used a script created in-house to automatically populate the required form of due diligence report.

  • Our largest tech-led client collaboration to date. We acted for a UK financial institution to transition a customer portfolio with a substantial value away from LIBOR. The overall solution provided for automatic data sharing (including management information) between Pinsent Masons and the client, with custom built software enhancing the due diligence process. Both data captured during due diligence and data submitted by the client was used to generate amendment agreements and conditions precedent for over 700 lending agreements.

  • Advised a major bank on cross-border corporate financing with German legal implications including advice on the financing of a global industrial company; advice on the transfer of secured large commercial loans regarding the relocation of business activities to continental Europe (in particular Germany) and ongoing advice on the transfer of secured large commercial loans within the scope of the Ring Fencing Transfer Scheme in order to comply with regulatory requirements.

  • Advised a private equity firm on the restructuring aspects of the £275m acquisition of a 75-home UK wide care home portfolio. The acquisition involved the purchase of remaining units in a unit trust and subsequent re-organisation of the holding structure. Advised on operational and tenancy insolvency aspects and also certain aspects of the re-financing of the portfolio by a US investment bank.

  • Acted for a major bank undertaking diligence and reporting on social housing, education and infrastructure loans in connection with its ringfencing plans. We used our TermFrame ERA technology to extract data from the underlying transaction documents efficiently and to generate better, faster analysis for the client.

  • Acted for a major bank on the transfer of its assets outside the court-ordered ring-fencing scheme. This involved the transfer of over 1,000 customer accounts in the UK and Europe. We reviewed the account documentation to determine the transfer steps and then, working with foreign lawyers where required, implemented the transfers. We used bespoke technology solutions to help our client organise and track the transfers, giving it online access to information and real-time updates.

  • Conducted due diligence on loan and security assets for a major bank's ringfencing scheme, including analysis of whether transactions were permitted within the ringfence. We used our TermFrame ERA solution to extract data from the underlying transaction documents. We reviewed and analysed the data, giving our client access to better information, faster. In total we reviewed around 25,000 documents in 10 months using our proprietary TermFrame ERA solution.

  • Acted for a real estate investment firm in the sale of a loan portfolio of eight existing UK residential development loans to a global private equity firm.

  • Acted for a private equity firm in relation to its purchase of a £180m residential mortgage portfolio with assets in England, Scotland and Northern Ireland.

  • Advised a US opportunity fund on its bid and successful acquisition of a €4.7 billion multi-jurisdictional loan portfolio being sold by NAMA. The portfolio comprised loans and assets located mainly in Ireland but also in the UK, Germany, France, Spain and Portugal. Despite Pinsent Masons not being present in a number of the main jurisdictions, we were instructed as lead counsel due to our experience and market-leading technology-assisted credentials.
