Pinsent Masons advises SERT on transformational internalisation establishing a fully integrated €3.2 billion European investment management platform

Multinational law firm Pinsent Masons has advised Stoneweg Europe Stapled Trust (SERT) on its proposed aggregate c.€122 million acquisition of Stoneweg's pan-European investment management platform, a transformational transaction that will establish SERT as a fully integrated real estate owner, operator and investment manager with approximately €3.2 billion of assets under management.

The proposed transaction represents a significant milestone in the evolution of SERT's European business. Through the acquisition, SERT will internalise its management and operating platform, combining recurring property income with asset and investment management capabilities within a single integrated structure. 

Upon completion, SERT will manage a platform comprising its existing €2.3 billion portfolio together with third-party asset management mandates and associated operating capabilities across Europe. The transaction also supports SERT's strategy of building a leading logistics and digital infrastructure platform whilst retaining access to specialist investment opportunities through strategic cooperation arrangements. 

The investment management platform formed part of the European operations acquired by Stoneweg from Cromwell Property Group in 2025. The transaction involves the internalisation of the platform, associated operating businesses and related investment management activities, creating a vertically integrated real estate investment and management business. 

Pinsent Masons delivered the legal aspects of the transaction across multiple jurisdictions, drawing on a multidisciplinary team spanning corporate, funds, tax, regulatory, commercial, real estate and employment, disciplines.

The transaction is expected to complete on or before 31 December 2026, subject to securityholder, regulatory and other customary approvals.
