The multinational law firm Pinsent Masons advises the holding company of the founder Dr Hardy Walle on the sale of all shares of Bodymed AG to Nestlé Health Science.

Bodymed is specialized in innovative online programs and other effective concepts for sustainable weight reduction. The Bodymed nutritional concept also includes medical care in 1,350 Bodymed centers in Germany, Austria and Switzerland and is complemented by its own product range. Bodymed will in future be managed as an independent division of Nestlé Health Science.

Nestlé Health Science is part of Nestlé Deutschland AG and already very active in the market for products and services for sustainable weight reduction. Through the acquisition of Bodymed AG, Nestlé is creating a leading platform that offers patients a broad spectrum of science-based and sustainable weight reduction products and services.

Rainer Kreifels, who led the transaction, commented: "We are delighted to have successfully supported Bodymed AG in this complex transaction in the life sciences sector. Thanks to our sector approach, our lawyers not only have the relevant technical skills, but also have important industry knowledge. As a full-service law firm, we were also able to advise our client on all legal issues related to the transaction".

In addition to corporate law issues, the law firm also advised the client during the transaction on antitrust, data protection, tax and employment law aspects. The transaction was subject to approval by the German Federal Cartel Office, which was granted on November 12, 2020.
