International law firm Pinsent Masons has, together with Alston & Bird LLP, advised CommScope Holding Company, Inc., a global leader in infrastructure solutions for communications networks, on its US$7.4 billion proposed acquisition of ARRIS International plc, a global leader in entertainment and communications solutions.
The combination of CommScope and ARRIS would create a company with approximately US$11.3 billion in revenue and adjusted EBITDA of approximately US$1.8 billion.
The acquisition is structured as a UK scheme of arrangement and is subject to approval by the shareholders of ARRIS, Court sanction, regulatory approvals and other customary closing conditions. It is expected that the transaction will complete in the first half of 2019.
