Multinational law firm Pinsent Masons has advised Tokai Carbon Co., Ltd. (“Tokai Carbon”) on the sale of its German subsidiary TOKAI ERFTCARBON GmbH (“TEG”), to Lenbach Equity Opportunities III. GmbH & Co. KG, which is exclusively advised by DUBAG Investment Advisory GmbH (“DUBAG”).
Tokai Carbon is a Tokyo-based manufacturer of high-quality carbon and graphite products in a wide range of industries, including the iron and steel, aluminum, automotive, machinery, metallurgy, and electronics industries. The company is listed on the first section of the Tokyo Stock Exchange and is a constituent of the Nikkei 225 stock index.
TEG is one of the leading European manufacturers of large-format graphite electrodes for electric steelmaking with a company history of more than 100 years. The company based in Grevenbroich (Germany) with approximately 200 employees and reported net sales of EUR 72.6m (approximately USD 81.6m or JPY 11.8bn). TEG had been acquired by Tokai Carbon in 2005 and has been a part of the tri-polar structure of their electrode business in Japan, the United States, and Europe.
DUBAG is an investment company headquartered in Munich (Germany) and has strengths in investing in carved-out companies and companies requiring business improvement. DUBAG’s current portfolio comprises seven companies with a total turnover of more than EUR 700 million across different industries in ten countries.
The transaction was run jointly with Japanese law firm Hibiya-Nakata with corporate partner Takanari Sekiguchi and his team advising on Japanese law elements and facilitating the alignment with the client’s senior management.
